Please read these terms carefully before using our services.

These Terms of Service ("Terms") govern your use of the Max Pro Gears website and B2B sportswear manufacturing services. By accessing our website or placing an order, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
1. Acceptance of Terms
By accessing or using Max Pro Gears's website, submitting inquiries, requesting quotes, or placing orders, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms constitute a legally binding agreement between you (the "Client") and Max Pro Gears (the "Manufacturer").
You represent that you are authorized to enter into this agreement on behalf of your company or organization and that you are at least 18 years of age.
2. B2B Services Description
Max Pro Gears is a business-to-business (B2B) sportswear manufacturer specializing in:
- Custom MMA gear including rashguards, fight shorts, spats, and BJJ gis
- Full sublimation printing on sports garments
- Custom sportswear and athletic apparel manufacturing
- Gym wear and activewear production
- Boxing equipment and accessories
- Private label and OEM manufacturing services
- Sample development and prototyping
Our services are intended exclusively for businesses, brands, gyms, clubs, and authorized resellers. We reserve the right to decline orders that do not meet our B2B criteria.
3. Ordering and Minimum Order Quantities (MOQ)
All orders are subject to the following conditions:
- Minimum Order Quantities (MOQ) vary by product category and customization requirements. Current MOQ details are available upon request.
- Orders must be confirmed in writing (email or our online system) with complete specifications including sizes, colors, designs, and quantities.
- Once an order is confirmed and production has commenced, cancellations or modifications may not be possible or may incur additional charges.
- We reserve the right to adjust MOQ requirements based on product complexity and seasonal demand.
4. Pricing and Payment
- All prices are quoted in USD unless otherwise agreed upon and are exclusive of shipping, customs duties, and applicable taxes.
- Prices are valid for 30 days from the date of quotation unless otherwise stated.
- A deposit of 50% of the total order value is required before production begins. The remaining 50% is due before shipment.
- Payment methods accepted: Bank Transfer (T/T), PayPal, Western Union, and other methods as agreed.
- All payments must be received in full before goods are dispatched. We reserve the right to hold shipments until payment is cleared.
- Prices may be subject to change based on raw material costs, currency fluctuations, or design complexity changes.
5. Sampling and Approval
- We strongly recommend ordering samples before placing bulk orders, especially for new designs or first-time clients.
- Sample charges apply and vary by product type. Sample fees may be adjusted against bulk orders at our discretion.
- Clients are responsible for reviewing and approving samples before bulk production begins.
- Once written approval is given for a sample, the client accepts the design, fabric, fit, and quality standard for bulk production.
- Minor variations between approved samples and bulk production (including slight color differences) are inherent in the manufacturing process and are not considered defects.
6. Production and Delivery
- Production timelines are estimated and communicated at the time of order confirmation. Typical production time is 15-30 business days depending on order size and complexity.
- Production timelines begin after receipt of deposit payment, final design approval, and all required specifications.
- We ship worldwide via reputable courier services (DHL, FedEx, UPS) or sea freight for larger orders.
- Shipping costs are calculated based on weight, dimensions, destination, and chosen shipping method.
- Risk of loss transfers to the client upon handover to the shipping carrier (FOB origin).
- Delays caused by customs clearance, force majeure events, or incomplete client specifications are beyond our control.
- We will make reasonable efforts to meet delivery deadlines but cannot guarantee exact delivery dates.
7. Quality Guarantee
Max Pro Gears is committed to delivering products of the highest quality. Our quality guarantee includes:
- All products undergo multi-stage quality inspection before shipment.
- We guarantee that products will match the approved sample specifications within accepted manufacturing tolerances.
- Claims for defective products must be reported within 14 days of delivery with photographic evidence.
- We will replace or repair defective items at our cost, or issue a credit at our discretion.
- Quality claims do not apply to damage caused by improper handling, washing, or use by the end consumer.
- Our liability for quality claims is limited to the value of the defective goods.
8. Intellectual Property
- Clients retain all intellectual property rights to their designs, logos, and brand assets provided to us for manufacturing.
- We will not reproduce, distribute, or share client designs with third parties without written consent.
- Clients warrant that all designs and materials provided do not infringe upon the intellectual property rights of any third party.
- Clients shall indemnify Max Pro Gears against any claims arising from intellectual property infringement related to client-provided designs.
- Max Pro Gears retains ownership of proprietary manufacturing processes, patterns, and techniques.
- We may use non-branded images of manufactured products in our portfolio and marketing materials unless the client explicitly objects in writing.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Max Pro Gears shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.
- Our total liability for any claim shall not exceed the total amount paid by the client for the specific order in question.
- We are not liable for delays, damages, or losses caused by force majeure events including but not limited to natural disasters, pandemics, wars, government actions, supply chain disruptions, or carrier failures.
- We are not responsible for losses arising from the client's failure to provide accurate specifications, timely approvals, or clear instructions.
10. Dispute Resolution
In the event of any dispute arising from these Terms or our services:
- Both parties agree to first attempt to resolve the dispute through good-faith negotiation and direct communication.
- If negotiation fails, the dispute shall be submitted to mediation before a mutually agreed-upon mediator.
- If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the arbitration rules of the Pakistan Arbitration Act.
- The language of arbitration shall be English.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Sialkot, Punjab, Pakistan.
12. Modifications to Terms
We reserve the right to update or modify these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
